1. Acceptance of Terms

By accessing and using the services provided by Dewiride Technologies Private Limited ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to the following websites, products and services, and Dewiride Technologies Private Limited is the seller and merchant of record for all of them:

  • dewiride.com — our corporate website, and AI consulting, software and website development and support services
  • dewiride.ai — Dewiride AI, a prepaid, consumption-based AI assistant
  • shop.dewiride.com — our storefront for downloadable digital products
  • analytics.dewiride.com — Dewiride Analytics, web analytics sold as monthly plans

These Terms are the overview for all of them. Each product also publishes its own terms, refund policy and privacy policy on its website, linked in its section below. They apply to that product together with these Terms, and where the two differ, the product's own terms take precedence for it.

2. What We Sell

We sell three categories of offering, all of them digital. We do not sell, ship or deliver physical goods.

  • Professional services — AI strategy consulting, AI agent and chatbot development, Microsoft Agent Framework, Microsoft 365 Agents SDK and Microsoft Foundry implementation, LangChain and custom LLM engineering, custom software development, company website and web-application development, and ongoing support retainers. Sold against a written proposal or statement of work.
  • Software as a service — access to Dewiride AI, billed from a prepaid wallet as you consume it, and monthly plans for Dewiride Analytics, paid in advance.
  • Digital products — downloadable source code, project templates, sample integrations and technical courseware, sold as one-time purchases on shop.dewiride.com.

3. Eligibility and User Accounts

You must be at least 18 years old, or the age of majority where you live, and legally able to enter into a contract, in order to buy from us. If you are buying on behalf of an organisation, you confirm you are authorised to bind it.

To access certain features of our services, you may be required to create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use
  • Be responsible for all activities under your account

4. Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful or malicious content
  • Attempt to gain unauthorized access to our systems
  • Interfere with the proper functioning of our services
  • Use our services for any illegal or unauthorized purpose

5. Intellectual Property

All content, features, and functionality of our services are owned by the Company or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Software we publish under an open-source licence, such as the Dewiride Analytics detection engine (AGPL-3.0), may be used under that licence instead.

6. Dewiride Shop: Licence to Digital Products

Dewiride Shop also publishes its own terms of service, refund policy and privacy policy, which take precedence over these Terms for Dewiride Shop where they differ.

When you buy a digital product from shop.dewiride.com, we grant you a perpetual, non-exclusive, non-transferable licence to use it. Unless the product page says otherwise, you may:

  • use and modify the files in your own commercial and non-commercial projects
  • deploy the resulting work for your own customers

You may not:

  • resell, redistribute, sublicense or publish the files as-is, or as part of a competing template, course or repository
  • share your download links or account credentials with third parties
  • remove copyright or attribution notices from the source files

Third-party dependencies, APIs and cloud services used by a product remain subject to their own licences and are your responsibility to obtain and pay for.

7. Dewiride AI: Wallet, Credits and Consumption Billing

Dewiride AI also publishes its own terms of service, refund policy and privacy policy, which take precedence over these Terms for Dewiride AI where they differ.

Dewiride AI is prepaid and pay-as-you-go. There is no subscription, no minimum term and no lock-in.

  • You add funds to a wallet — from $5 per top-up — and the balance is drawn down as you use the service.
  • Consumption is metered as you use the assistant, and every top-up and every deduction is itemised in your billing history.
  • Credits are a prepayment for our services. They carry no cash value beyond the refund rights described in our Refund Policy, cannot be transferred between accounts, and cannot be exchanged for anything other than Dewiride AI usage.
  • Credits do not expire for as long as your account remains open.
  • Credit we grant you, such as a signup welcome credit or a goodwill credit, is not a payment, has no cash value and is not refundable; it is drawn down the same way paid credit is.
  • Auto top-up is off by default. If you enable it, you authorise us to charge your saved payment method for the amount and threshold you configure. You can change or disable it at any time in your account settings, with immediate effect.
  • When your balance reaches zero, service simply pauses until you top up. We will never let your balance go negative or charge you unexpectedly.
  • We may change our rates with at least 30 days' notice by email. Rate changes never apply retrospectively to credits already consumed, and you may request a refund of your unused balance if you do not accept a change.

8. Dewiride Analytics: Plans, Trial and Allowances

Dewiride Analytics also publishes its own terms of service, refund policy and privacy policy, which take precedence over these Terms for Dewiride Analytics where they differ.

Dewiride Analytics is sold as monthly plans. Each plan covers a number of page views a month and a number of websites, and its price is published on our Dewiride Analytics page and on analytics.dewiride.com.

  • New accounts get a free trial of 7 days with the whole product switched on. No card is taken and nothing is charged until you choose a plan; if you do nothing, measurement stops at the end of the trial and what you collected stays readable.
  • Plans are paid monthly in advance, by card through Stripe, and renew each month until you cancel. By choosing a plan you authorise us to charge your card at the start of each billing month for that month, at the plan's price adjusted for any change of plan, until you cancel, which you can do at any time from inside the product.
  • Customers billed in India pay in rupees, with GST included in the price. Everyone else pays in US dollars, excluding any tax due where they are, which is theirs to account for. Your currency is set the first time you pay, from the time zone of your first website, and does not change afterwards.
  • Everything that reaches your websites counts towards your page views, including crawlers and other automation. We email you when you have used four fifths of a month's allowance. Past it, measurement continues for seven more days, then stops until your billing month turns over or you move to a larger plan; data already collected is never deleted for going over.
  • You can change plan at any time from inside the product. The difference for the rest of the month goes on your next invoice.
  • We will tell you at least 30 days before a price change affects you, and you may cancel in that time.

9. Pricing, Currency, Taxes and Invoices

  • Prices are published on our pricing page, on each product page, and in your proposal or statement of work for services.
  • We charge in INR and USD. The currency and the exact total are always shown before you confirm a payment. Card payments taken by Stripe appear on your statement as DEWIRIDE.
  • Payments are processed by Stripe, and some payments on shop.dewiride.com by Razorpay. We do not receive or store your full card details.
  • Indian customers are charged GST at the applicable rate in addition to the listed price, except on Dewiride Analytics plans, which are billed in rupees with GST included or in US dollars, as section 8 explains. Customers outside India are responsible for any local taxes, duties or withholdings.
  • A receipt is emailed for every payment. Dewiride AI issues a GST invoice for every payment, which you can download from your billing page; for other purchases, GST invoices are issued on request — email billing@dewiride.com with your GSTIN.
  • Invoiced service fees are due as stated on the invoice. We may suspend work or access for non-payment after written notice.

10. Promotions, Discounts and Free Items

  • Promotional prices apply only while the promotion is live and only to orders placed during that period. They cannot be applied retrospectively.
  • Any "original price" shown alongside a discount is our own list price for that item, not a third-party or recommended retail price.
  • Unless stated otherwise, promotions cannot be combined, have no cash value, are limited to one use per customer, and may be withdrawn or changed at any time before an order is placed.
  • Free items are provided as-is, with no warranty and no support commitment.
  • Refunds on discounted items are made at the price actually paid. Any additional conditions for a specific promotion are shown with that promotion.

11. Delivery of Purchases

Everything we sell is delivered digitally; nothing is shipped. Digital downloads from shop.dewiride.com and Dewiride AI wallet credits are made available immediately after payment is confirmed, Dewiride Analytics is available as soon as you sign up, and services are delivered to the schedule agreed in your statement of work. Full details are in our Delivery & Fulfilment Policy, which forms part of these Terms.

12. Cancellation Policy

You may cancel at any time. What cancellation means depends on what you bought:

  • Dewiride AI: there is no subscription to cancel — simply stop topping up. If you have enabled auto top-up you can switch it off at any time in your account settings, with immediate effect. You may close your account at any time by writing to support@dewiride.com.
  • Dewiride Analytics: cancel at any time from inside the product. Your plan runs to the end of the month you have paid for and is not renewed; measurement then stops, and you can still read what was collected. You can also close the whole account from its settings: measurement stops at once for every website in it, and the traffic, the account and the people in it are kept for 30 days so that it can be restored, then deleted (invoices and payment records are kept for 8 years, as the law requires). Ask us before then if you want a copy.
  • Digital downloads (shop.dewiride.com): orders are fulfilled instantly and, under the Shop's own refund policy, cannot be cancelled once purchased.
  • Monthly retainers and support plans: cancel at any time with 30 days' written notice. Service continues to the end of the notice period and we charge no cancellation fee.
  • Fixed-scope projects: either party may terminate in writing. You pay only for work completed and accepted up to the termination date.
  • Consultations: reschedule or cancel free of charge up to 24 hours before the session.

13. Refund Policy

We refund in the following circumstances, to the original payment method and in the original currency:

  • Dewiride AI: any unused wallet balance is refundable in full within 30 days of the top-up. Credits consumed by failed, duplicated or defective requests are re-credited in full at any time. Credits already spent on completed requests are not refundable.
  • Dewiride Analytics: plans are paid monthly in advance and the unused part of a month is not refunded. We refund you if you were charged twice for the same month or after you cancelled, if you were charged the wrong amount or in the wrong currency, or if the service was unavailable for a substantial part of a month for a reason on our side; if we close your account for any reason other than your breach, we refund the unused part of a prepaid month.
  • Digital downloads (shop.dewiride.com): under the Shop's own refund policy, a duplicate purchase of the same item is refunded if you ask within 30 days of purchase. Refunds are not given where an item does not work because of your own setup or configuration, where you do not have the knowledge to use it, where it is no longer available, or where it does not meet your expectations.
  • Services: unearned advances and prepaid but unused hours are refunded in full. A milestone we fail to deliver and cannot remedy within 30 days is refunded in full. Work already delivered and accepted, and third-party licences bought on your behalf, are not refundable.
  • All purchases: duplicate charges, incorrect amounts and unauthorised transactions are refunded in full.

For a product, ask as its own refund policy explains, which also says how long a decision and a refund take. For our services, email billing@dewiride.com with your invoice number: we acknowledge every request within 1 business day, decide within 5 business days, and issue approved refunds within 5–10 business days. We charge no processing fee on refunds. Refunds on discounted items are made at the price actually paid.

14. Billing Disputes and Chargebacks

Please contact us at billing@dewiride.com before raising a chargeback with your bank — we resolve almost every billing issue directly and far more quickly. If you disagree with our decision you may escalate to our grievance officer at grievance@dewiride.com within 30 days, and we will respond within 15 days. Where a chargeback is raised we may suspend the associated account or wallet balance until the card issuer settles the dispute.

15. Custom Development Work and Non-Payment

For custom development projects, the following terms apply in cases of non-payment:

  • If a client fails to make payment or refuses to pay for completed development work as per the agreed terms, Dewiride Technologies retains full intellectual property rights to all work performed.
  • In the event of non-payment, the Company reserves the right to publicly showcase, distribute, or sell the developed project on public platforms including but not limited to YouTube, our repository website, GitHub, or other digital marketplaces.
  • The client waives any claims to confidentiality or proprietary rights over the work product in cases where payment obligations are not fulfilled.
  • This clause serves as both a deterrent against non-payment and a means for the Company to recover value from completed work.

Important: Payment of all outstanding amounts will restore full confidentiality and transfer intellectual property rights as originally agreed upon.

16. Legal, Export and Sanctions Restrictions

  • We do not sell to, and you may not access our products from, any country, region or person subject to sanctions or export-control restrictions that apply to us, including those administered by India, the United States, the United Kingdom and the European Union.
  • You confirm that you are not on any restricted-party list and that you will not re-export or make our software available in breach of those restrictions.
  • Our AI services are additionally subject to the acceptable-use policies of the underlying model and cloud providers we rely on. Use that breaches those policies breaches these Terms.
  • We do not provide regulated advice. Our services are not a substitute for legal, medical, financial or other professional advice, and must not be relied on as such.
  • Where local law gives you mandatory consumer rights, nothing in these Terms limits them.

17. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of our services, to understand our practices regarding your personal information. Each product's own privacy policy, linked in its section above, also applies to it and takes precedence where the two differ.

18. Disclaimers and Warranties

Our services are provided "as is" without warranties of any kind. We do not guarantee that our services will be uninterrupted, error-free, or meet your specific requirements. To the fullest extent permitted by law, we disclaim all warranties, express or implied.

19. Limitation of Liability

In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

20. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use our services will cease immediately.

If we terminate your account for any reason other than your breach of these Terms, we refund any unused Dewiride AI wallet balance, the unused part of a prepaid Dewiride Analytics month, and any prepaid but undelivered services.

21. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts at Jodhpur, Rajasthan, India shall have exclusive jurisdiction over any dispute arising from these Terms.
